Article VII. District Meetings

Section 1. District Meetings. In addition to district meetings called for the purpose of electing Trustees, meetings of the members within a particular district may be called by resolution of the Board of Trustees, or upon a written request signed by the Trustee residing in the particular district, or by 10% or more of members located within such district, for the purpose of making recommendations to the Board of Trustees or the entire membership with respect to any matters pertaining to the business of the Cooperative, and it shall thereupon be the duty of the Secretary to cause notice of such meeting to be given as hereinafter provided. Such meeting may be held at any place within the district as specified in the notice of the meeting. The presence of at least 15% of the members of the Cooperative resident within the district at a duly called district meeting shall constitute a quorum. The members shall elect a Chairman and a Secretary to act for the duration of the meeting. Proxy voting shall not be permitted at any district meeting.

Section 2. Notice of District Meetings. Written or printed notice stating the place, day, and hour of the meeting and the purpose or purposes for which the meeting is called shall be delivered not less than five days before such meeting, except that as to meetings at which a Trustee is to be elected, the notice must be delivered not less than ten days before such meeting. Meetings shall be opened for discussion of any matters pertaining to the business of the Cooperative, regardless of whether or not such matters were listed in the notice of the meeting, except that as to a meeting at which a Trustee is to be elected, the notice must specify that such action is to be taken at the meeting.
